Short answer

What does Clause extraction → Obligation ledger do? Stop learning about a missed service commitment when the customer withholds payment. See exposure in money, worst first.

How it works

Kinnow suggests 15 types of clause from the contract text. Nothing counts until a person confirms it; then it becomes a tracked promise linked to the original wording. Each promise is marked on track, at risk or breached, and any capped penalty is worked out by who owes whom. Kinnow drafts reminders but never sends them itself.

The detail that makes it real

Eight ready-made templates, including maintenance visits, uptime warranty and insurance, set who owes whom, so a liability cannot be filed as money owed to you.

Step by step

  1. A contract or lease is filed in Vault. It is marked as a contract, either on upload or after classification.
  2. Kinnow reads it for 15 kinds of clause. It looks for known wording, such as rent escalation, notice period, lock-in, deposit, insurance, reporting, fit-out, uptime, exclusivity, termination, indemnity and penalties.
  3. Every find is only a suggestion. Each clause is quoted from the contract and waits. It does nothing until a person decides.
  4. A person confirms or rejects. Confirming records who confirmed it and the exact words. A rejected clause is marked, never deleted, so the record shows it was read and refused.
  5. A confirmed clause can become a tracked promise. That is a separate choice for each clause, so the list of promises does not fill with everything the contract mentions.
  6. The promise is watched. Each one is On track, At risk, Breached, Met, Waived or Cancelled. A chase is drafted for a person to send; waiving needs a written reason.

What you see on screen

  • Obligations. "What the contract book owes, and what is about to go wrong - worst first." Counts of Breached and At risk, the penalty we owe and the penalty owed to us, kept apart.
  • Due and at risk. A queue for the next few weeks (you choose how many days), filtered by We owe, They owe or both. A Refresh statuses button re-checks every promise.
  • A contract's promises. Each promise shows who owes whom, the due date, its status and the clause it came from.
  • Contracts. The contract book with counterparty, reference, type, value and end date, with "In 12d" or "Expired 3d ago" beside each.
